These Terms of Service govern your use of the Unused Ink Group website and services. By accessing our services, you agree to be bound by these terms.
1. Introduction and Acceptance
Welcome to Unused Ink Group (“we,” “our,” or “us”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Unused Ink Group regarding your access to and use of our website at unusedink.com and all related services, including but not limited to:
- Creative agency services
- Photography and videography studio services
- Digital marketing and advertising services
- Our AI assistant “Inky”
- Contact forms and lead capture systems
By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

3. Eligibility
To use our services, you must:
- Be at least 18 years of age, or the age of legal majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using our services under applicable laws
- If representing an organization, have the authority to bind that organization to these Terms
If you are under 18, you may only use our services with the involvement of a parent or legal guardian who agrees to be bound by these Terms.
4. Services Description
4.1 Creative Agency Services
We provide branding, design, marketing strategy, and creative consulting services. Specific deliverables, timelines, and fees are defined in separate project agreements or statements of work.
4.2 Studio Services
Our photography and videography studio offers professional content creation services. Service terms, usage rights, and delivery specifications are detailed in individual service agreements.
4.3 Digital Services
Digital marketing, social media management, paid advertising, and online campaign services. Performance metrics, reporting schedules, and management fees are specified in service contracts.
4.4 AI Assistant (Inky)
Our AI assistant “Inky” provides information about our services and assists with inquiries. Inky uses artificial intelligence and may not always provide perfectly accurate information. For official quotes, contracts, or commitments, please contact our team directly.
5. Intellectual Property Rights
5.1 Our Intellectual Property
All content on our website, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Unused Ink Group or its content suppliers and is protected by Rwanda's intellectual property laws and international copyright laws.
The “Unused Ink Group” name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Unused Ink Group. You must not use such marks without our prior written permission.
5.2 Client Work Product
Ownership and usage rights for work created for clients are governed by individual project agreements. Unless otherwise specified in writing:
- Upon full payment, clients receive a license to use deliverables for agreed purposes
- We retain the right to showcase work in our portfolio unless confidentiality is agreed
- Source files, raw footage, and working files remain our property unless explicitly transferred
- Third-party assets (stock images, fonts, music) are subject to their respective licenses
5.3 User Content
When you submit content to us (briefs, materials, feedback), you grant us a non-exclusive, royalty-free license to use such content for the purpose of providing our services. You represent that you have the necessary rights to grant this license.
6. User Obligations and Conduct
When using our services, you agree to:
- Provide accurate and complete information in all communications
- Use our services only for lawful purposes
- Respect our intellectual property and that of third parties
- Not attempt to gain unauthorized access to our systems or networks
- Not transmit any viruses, malware, or other malicious code
- Not use automated systems to access our website without permission
- Not impersonate any person or entity
- Comply with all applicable laws, including Rwanda's laws and regulations
7. Payment Terms
7.1 Pricing
Prices for our services are provided on a project-by-project basis through formal quotes or proposals. All prices are in Rwandan Francs (RWF) or US Dollars (USD) as specified, and are exclusive of applicable taxes unless otherwise stated.
7.2 Payment Schedule
Payment terms are specified in individual project agreements. Standard terms include:
- Deposit required before project commencement (typically 50%)
- Progress payments for larger projects
- Final payment due upon delivery of completed work
- Payment due within 14 days of invoice unless otherwise agreed
7.3 Late Payment
Late payments may incur interest at the rate permitted under Rwandan law. We reserve the right to suspend services for accounts with overdue payments.
8. Project Terms
8.1 Scope Changes
Changes to project scope, deliverables, or timeline must be agreed in writing and may result in additional fees and adjusted timelines.
8.2 Client Responsibilities
Clients are responsible for providing necessary materials, feedback, and approvals in a timely manner. Delays in client deliverables may affect project timelines without liability to us.
8.3 Revisions
Revision rounds are specified in project agreements. Additional revisions beyond the agreed scope are billed at our standard hourly rate or as otherwise agreed.
8.4 Cancellation
Either party may cancel a project by providing written notice. Cancellation terms, including fees for work completed, are specified in individual project agreements.
9. Confidentiality
We treat all client information as confidential unless it is publicly available or we have written permission to disclose it. This includes:
- Business strategies and plans
- Financial information
- Unreleased products or services
- Proprietary processes or methodologies
Specific confidentiality requirements can be addressed through separate Non-Disclosure Agreements (NDAs) upon request.
10. Limitation of Liability
10.1 Service Disclaimer
Our website and services are provided “as is” and “as available” without any warranties, express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
10.2 Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
10.3 Exclusions
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
10.4 AI Disclaimer
Information provided by our AI assistant Inky is for general informational purposes only. We are not liable for any decisions made based on AI-generated content. Always verify important information with our human team.
11. Indemnification
You agree to indemnify, defend, and hold harmless Unused Ink Group, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to:
- Your use of our services
- Your violation of these Terms
- Your violation of any rights of another party
- Content you provide that infringes third-party intellectual property rights
12. Dispute Resolution
12.1 Negotiation
In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation within thirty (30) days of written notice of the dispute.
12.2 Mediation
If negotiation fails, the parties agree to attempt mediation before pursuing other legal remedies. Mediation shall be conducted in Kigali, Rwanda.
12.3 Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Rwanda. Any disputes not resolved through negotiation or mediation shall be submitted to the exclusive jurisdiction of the courts of Rwanda.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:
- Natural disasters
- War, terrorism, or civil unrest
- Epidemics or pandemics
- Government actions or regulations
- Power outages or telecommunications failures
- Cyberattacks or system failures beyond our control
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. The “Last Updated” date at the top of these Terms indicates when the most recent revisions were made.
Your continued use of our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and Unused Ink Group regarding your use of our services and supersede all prior agreements and understandings.
